Constitution Of The Victor Band Boosters  

Article I Name

The name of the Association shall be:

The Victor Band Boosters of the Victor Central School District

Article II Purpose

The purpose of the Association shall be:

A. To perpetuate the Victor Bands, Fall Color Guard, and Winter Color Guard of the Victor Central School District.

B. To support the Band Director in all Band, Fall Color Guard, and Winter Color Guard operations, activities, and maintenance.

C. To provide financial support for Bands, Fall Color Guard, and Winter Color Guard curricular and extra curricular activities as recommended and approved by the Band Directors and supported by the Executive Board and General Membership.

D. To cooperate with the School Administration and the Board of Education of the Victor Central School District.

E. To promote and enhance closer communications between parents/guardians, boosters, and the Band, Fall Color Guard, and Winter Color Guard students and Band Directors.

F. To promote and enhance local community interest is all Victor Bands, Fall Color Guard, and Winter Color Guard.

G. The Association is organized exclusively for charitable, educational, religious, or scientific purpose within the meaning of Section 501 (c) (3) of the Internal Revenue Code of 1986.

H. The Association will lend support whenever possible to other musical groups of the Victor Central School District.

Article III Membership

All parents/guardians (past and present) of the band organization are voting members of the Association.

Article IV Executive Board

The Executive Board shall consist of four (4) Offices (President, Vice President, Secretary, and Treasurer), the Band Director, and chairpersons who shall be appointed by the four (4) Officers. The Executive Board will determine number of Chairpersons.

Article V Elections

A. The election of officers shall be held at the regular December General Membership Meeting.

B. The appointment of the chairpersons shall be held at the regular February Executive Board Meeting.

Article VI Funds

All funds of the Association shall be the responsibility of the Association Treasurer in accordance with the by-laws of the Constitution.

Article VII Meetings

A. Executive Board meetings will be held every month, the second Tuesday of the month from December through June, and the second Thursday of the month from July through November prior to the General Membership meeting.

B, General membership meetings will be held every month on the second Tuesday of the month from December through June, and the second Thursday of the month from July through November.

C. The Band Director, President, Executive Board, or 10% of the voting membership may call special meetings of the Association at any time. Notice shall be given to the membership a minimum of two (2) days in advance of such special meetings. No business shall be transacted at any special meeting except that which was stated in the notice and for which the special meeting was called.

D. At executive Board meetings, only board members are allowed to discuss and vote on issues. Other members attending Board meetings will be allowed to provide input only during the audience participation portion of the meeting. At General Membership meetings, all members are allowed to vote and may discuss issues.

 

Article VIII Inurement of Income

No part of the net earnings of the Association shall inure to the benefit of, or be distributed to its members, trustees, officers, or other private persons. However, the Association shall be authorized and empowered to pay reasonable compensation for services rendered.

Article IX Legislation or Political Activities

No substantial part of the activities of the Association shall be the carrying on of propaganda (including the publishing or distribution of statements), or attempting to influence legislation, or any political campaign on behalf of any candidate for public office.

Article X Operational Limitations

Notwithstanding any other provisions of these articles, the Association shall not carry on any other activities not permitted to be carried on by a corporation exempt from Federal Income Tax under Section 501(c) (3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future corporation or contributions to which are deductible under Section 402 not for profit corporation law or the corresponding provision of any future United States Internal Revenue Law).

Article XI Dissolution Agreement

Under the dissolution of the Association, the Executive Board shall, after paying or making provisions for the payment of all of the liabilities of the Association, dispose of all assets of the Association in such manner, or to such organization or organizations under section 501 (c) (3) of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue law), as the executive board shall determine. Any such assets not so disposed of shall be disposed of by the New York State court in which the principal office of the Association is located, exclusively for such purpose or to such organization or organizations as said court shall determine, which are organized and operated exclusively for such purposes.

Article XII Amendments

The Constitution may be amended at a regular meeting of the Association by a two-thirds majority vote of the membership present, providing the Amendment has been read at the preceding regular General Membership meeting of the Association.
